this is a state point in attorney jason lindemut and today id like to talk about powers of attorney more specifically a medical power of attorney along with a hipaa authorization and why in my opinion we need those as two separate documents rather than combined into one so along with every will or revocable trust that i draft for clients i always include for additional documents with it lets call those ancillary documents that come into play if we ever become incapacitated for a period of time think for instance we are in a car crash and are unconscious in the hospital for a couple weeks and we either need our spouse or one of our loved ones to step into our shoes and make decisions on our behalf this is where an ancillary document like a medical power of attorney or a hipaa authorization comes in handy and it comes in handy more often than than we would think the medical power of attorney allows our designated person to make health care decisions for us if were to use our previous

Mergers and Acquisitions (MA) or Corporate Law is probably the practice area whose transactions you most often see on the front page of the business section of the newspapers. The work is exactly what it sounds like merging, demerging (i.e. separating), buying and selling of companies and their assets.
A merger is a statutory term that refers to when two organizations go forward as a single firm rather than remaining separately owned and operated. An acquisition describes a transaction where one organization purchases another and incorporates it into its operational structure.
Instead they are, technically, formal legal consolidations. In a merger, one or more non-profit corporations merge into another, with the latter becoming the surviving corporation and the other(s) being automatically dissolved by virtue of the merger.
Mergers and acquisitions (MA) is a practice area of the law, focused on domestic and global transactions aimed at consolidating businesses of two or more companies through legal operations such as mergers, purchase of assets, tender offers, hostile takeovers, among others.
But at the most basic level, there are four main steps to joining two charities together: Letter of Intent (LOI) The letter of intent establishes the desire of the organizations to merge. Due Diligence. Merger Agreement/Negotiation. Articles of Merger/Plantiff Merger.
The finance division of investment banks manages the merger and acquisition work, right from the negotiation stage until the deal closes. The work related to the legal and accounting issues is often outsourced to affiliate companies or enlisted experts.
Just like a for-profit entity, a nonprofit corporation may sell or otherwise transfer substantially all of its assets (or purchase substantially all of the assets of another nonprofit corporation) as a step precedent to the dissolution of the transferring corporation and as an alternative to business combination
A nonprofit organization that generates income exceeding its expenses, however, is restricted in the ways it can use this income: it may reinvest the money into the services it provides, it may fund other nonprofit organizations, or, in the case of a foundation, it may place the monies in program-related investments.
