A trademark assignment agreement is a legal document that transfers ownership of a trademark from one party to another. In California, this agreement is governed by California law, which sets out the requirements for a valid and enforceable assignment.
State whether the trademark is in use or there is a real intent to use. Provide a drawing of the trademark. List the products and/or services sold under the trademark. The trademark must be distinctive.
The assignor or assignee, or both, can make a joint request to register the assignment by filing an application of a trademark assignment in Form TM-P to the register of trademarks. Form TM-P must be filed with the registrar of the trademark within six months from the date of the assignment.
A trademark transfer is typically accomplished through a contract, like the written agreement form that follows. However, after the parties have negotiated and signed their agreement, the transfer must be recorded with the U.S. Patent and Trademark Office (USPTO).
Requests to record assignments are filed on line through the Electronic Trademark Assignment System (ETAS) using . A trademark applicant can create and submit a trademark assignment recordation coversheet. You must also submit legal documentation to support the assignment.
Trademark assignments must be in writing. The recording date of a document is the date it is filed with the USPTO. There may be assignments that are in whole or others that are considered to be partial assignments. This can become complicated if more than one person owns the trademark.
To assign ownership to another party, there needs to be a contract agreement between the current owner (the assignor) and the proposed owner (the assignee). This agreement will need to be signed by an authorised person.
All trademark assignments must transfer the good will that is associated with the use of the mark for a particular business. Section 10 of the Trademark Act (Lanham Act) requires any trademark application or registration be assigned in writing along with the good will of the business symbolized by the trademark.
