Generally a shareholders agreement can cover things like, How many shares do each shareholder? or Does each shareholder own. It could set out whether there are different classes of shares and if so the rights and responsibilities that are applicable to each different share class. Often though the constitution can also set out the share class information, so thats not necessarily in a shareholders agreement but can be in there. When should a Shareholders Agreement be prepared and signed? at the outset of a relationship between would-be shareholders and before any joint business plans or enterprise is commenced, or. in the case of an existing company, before shares are either issued, sold or transferred to a third party/unrelated owner.
For a shareholders agreement to be validly executed, it cannot be signed electronically. A copy of the document must be provided to each shareholder and company director. Each shareholder must sign each copy of the shareholders agreement in the presence of a witness.
With no shareholders agreement, both the company as a whole and individual shareholders could be exposed to unresolvable future conflict. Without an agreement to clarify the legal standpoint of each party, if a dispute occurs, a deadlock situation could occur.
All shareholders should sign each copy of the Agreement. Each signature must be witnessed. The chosen company director(s) must also sign each copy on behalf of the company. If only one director is signing, their signature must also be witnessed.
Since a shareholders agreement establishes the relationship between the shareholders, without one, you are exposing both shareholders and the company to potential future conflict. This is particularly true in situations where the voting shares in a company are held equally (50% each) by just two people or companies.
WHO SHOULD SIGN THE SHAREHOLDERS AGREEMENT? The shareholders agreement should be signed or executed by the company and each shareholder. Remember the legal requirements for a company and an individual to sign documents is different, so make sure that you review the execution blocks correctly and sign the right one!
It is not compulsory to have a shareholder agreement but it is highly recommended for all companies, particularly smaller, privately held companies where there might be a close relationship between the owners (shareholders) and management.

However, these basic off the shelf articles and the Model Articles, rarely include everything you may need.
