A SAFE note term sheet is a legal document that aligns early-stage startup funding interests by outlining the key investment agreement terms for entrepreneurs. It is a comprehensive blueprint outlining an investment agreements fundamental terms and conditions.
Provisions that boost potential gains, ensure minimum returns, or provide protection against downsides are sometimes labeled as dirty due to their inclusion of non-standard or highly complicated features, differing from the straightforward clean term sheets featuring standard clauses.
A SAFE note term sheet is a legal document that aligns early-stage startup funding interests by outlining the key investment agreement terms for entrepreneurs.
Clean term sheets are those that are fair and balanced, with terms that are beneficial to both the investor and the startup. Dirty term sheets, on the other hand, are those that are loaded with onerous provisions that heavily favor the investor.
A SAFE note is a security that is going to convert to stock at a future point, usually at a pre-negotiated price cap. Lets look at an example. A person might invest in a SAFE note with a $10 million cap. If the company is bought for $100 million, thats great news.
Term sheets may be used during a seed round, but they are more common at the Series A round and beyond. The valuation is one of the most important elements of a term sheet and distinguishes it from similar documents, such as SAFEs, which are used in earlier funding rounds when your companys valuation is not yet known.
Sometimes, you can skip doing a term sheet entirely; you can go straight to drafting the form of SAFE itself after agreeing with your lead investor(s) on the major terms of the round (e.g. discount, valuation cap, total round size, and lead investor $$ amounts).
