What do you give up when you sign a work-for-hire agreement? Typically, you give up ownership of intellectual property rightsthe copyright or trademark. Those intellectual property rights transfer to the person or company who hired you when the deliverables have been met and you, as freelancer, have been fully paid.
Works made for hire are an exception to this rule. 1 For legal purposes, when a work is a work made for hire, the author is not the individual who actually created the work. Instead, the party that hired the individual is considered both the author and the copyright owner of the work.
A work for hire, or work made for hire, refers to works whose ownership belongs to a third party rather than the creator. Under general copyright principals, a copyright becomes the property of the author who created the work.
A work for hire agreement is a written contract between an employer and an independent contractor (or contracted team or employee) to complete services in exchange for money. The agreement should outline the expectations and scope of the project.
All work performed by Artist on Projects and all Artwork generated in connection therewith is and shall be considered as Works Made for Hire (as defined under the U.S. Copyright Laws) and, as such, shall be owned by and for the benefit of Company(Work-for-hire Co.).
There is no provision in Canadian copyright law that corresponds to the work made for hire doctrine in United States law. Therefore, unless an author of a work makes an assignment in writing of the copyright in the work to the person who commissions that work, the author owns copyright in the work.
Intellectual property protection and independent contractors If an independent contractor creates an invention while fulfilling a contract with an employer, the ownership of the invention will default to the employer, unless the invention falls outside of the scope of the agreed-upon contract.
IP is generally understood to include patents, trademarks, copyright, and trade secrets; however, a definition of IP in a contract may also include confidential or proprietary information. It may include registered as well as non-registered IP, domestic as well as foreign IP; however, this may not always be the case.
