An accredited investor must have a net worth of $1 million or more, without including the value of their primary residence. To demonstrate this net worth, an investor must provide the securities offer with relevant documents that essentially prove how much money they have in the bank.
(8) Any entity in which all of the equity owners are accredited investors; Note 1 to paragraph (a)(8): It is permissible to look through various forms of equity ownership to natural persons in determining the accredited investor status of entities under this paragraph (a)(8).
The SEC defines an accredited investor as either: an individual with gross income exceeding $200,000 in each of the two most recent years or joint income with a spouse or partner exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year.
Accredited investors are individuals or entities who are qualified by the SEC to invest in unregulated or sophisticated securities, while a qualified purchaser is an individual or entity with an investment portfolio worth over $5 million.
No government agency or independent body reviews an investors credentials, and no certification exam or piece of paper exists that states a person has become an accredited investor. Instead, the companies that issue unregistered securities determine a potential investors status by conducting diligence prior to sale.
An individual who has a before tax income of over $200,000 for at least two years in a row ($300,000 if combining income with a spouse) and expects to exceed that income the current calendar year. An individual, alone or with a spouse, who has net assets of more than $5 million.
The law prohibits fraud, deceit, and misrepresentation in the sale of securities, such as bonds or stocks. Rule 501(a) is the part of Regulation D of the 33 Act that defines who and what qualifies to invest in unregistered securities, or an accredited investor.
