A corporate seal, also known as a company seal or corporate embosser, is a stamp or embosser that is custom-made for your company and usually includes the name of your business, the year of its incorporation, and the state in which your company was incorporated.
A corporate seal can be obtained by completing the following steps: Register your corporation with the state. Corporations are governed by the state, not federally. Head to a local office supply store. Design your corporate seal. Choose the embosser. Purchase the corporate seal.
Tips for Using a Company Seal A seal is considered the corporations mark. Use the seal on all important company documents. Use the seal like the companys signature so that it is clear the company is acting. A company seal means the agreement enclosed is a corporate act.
1 Answers. Seals may leave an embossed or raised impression on the paper, be imbedded as a watermark to deter forgery or be computer-generated. Stamps validate a documents originality and signatures with an inked emblem or identification.
The seal is used to execute a legal document or guarantee the documents authenticity. A seal is unique to a sealer and is used by government agencies, corporations and notaries public to show that the document is validly executed, acknowledged or witnessed. 2.2 The common seal should have the name of the company and state in which the registered office is situated engraved in legible characters. 3.1 The common seal should be affixed to any instrument only by authority of a resolution of the Board or a committee authorized by the Board.
When company documents are signed the stamp is affixed near the signatures on the document. Therefore, it is used on a variety of corporate documents (e.g. contracts, agreements, minutes of meetings, etc.).
Having a seal affixed to a document can help prevent fraud, as someone attempting to use a counterfeit document presumably would not have access to the corporate or company seal. Using a seal makes the corporations or LLCs documents stand out.
