1.409A-2(b). This regulation provision explains that a plan may permit or be amended to permit an irrevocable election to change the form of payment based on the same conditions outlined in the statute under Section 409A(a)(4)(C)(i)-(iii).
A 409A valuation is a formal report that determines the fair market value (FMV) of a companys common stock. This valuation is necessary for companies that issue stock options, stock appreciation rights, or other equity-based compensation plans to their employees.

The penalties for noncompliance with 409A are severe. Upon vesting, compensation deferred under a noncompliant plan or arrangement will become subject to regular federal income tax, a 20% excise tax and penalty interest accruing from the date of vesting.
Depending on the terms of the contract, deferred compensation might be canceled by the company if the employee is fired, defects to a competitor, or otherwise forfeits the benefit.
A nonqualified deferred compensation plan may permit a distributions upon a change in control event. A change of control event may include a change in ownership of the corporation, effective control of the corporation, or ownership of a substantial portion of the assets of the corporation.
There are various exceptions to Section 409A, including qualified plans like pension and 401(k) plans, and welfare benefits including vacation leave, sick leave, disability pay, or a death benefit plan.
Whether a payment or right to a payment is a substitute under section 409A is determined based on all facts and circumstances. In some instances, when the new payment or right explicitly results in the reduction or offset of the existing right, the new amount is clearly a substitute.
