A change of control agreement may be exercised either where the employee quits, or where the employer elects to dismiss the employee (without cause). In this way, it confers benefits to both parties.
In this discussion, you should outline the changes you want to make in their contract and why you are changing them. For example, if you are changing an employees job title because theyve been promoted, or moved teams. Offer details as to why the change is needed, this is the reason youre making the change.
If you have a written employment agreement, changes to these terms should be in writing and agreed to by both parties. If your employer tries to modify the terms of a written employment agreement without your awareness or acknowledgement, the changes will not be binding on you.
If they make a new contract that is clearly inconsistent with a former contract, a court will hold that the earlier contract has been superseded by the later contract. It is preferable, however, to expressly state in the later contract that the earlier one has been superseded.
Are employment contracts enforceable in Alberta? Employment contracts are generally legally binding in Alberta and serve as formal agreements outlining the terms and conditions of the working relationship between an employer and an employee. Both parties are expected to uphold the terms stipulated within the contract.
The general rule for employers changing the employment contract is if there is a unilateral amendment made, there must be new consideration offered to the employee. This means the employer must give an additional benefit (ex. more money) to the employee for the change.
An employer has the right to make changes that are envisaged in the employment contract; if the changes to the employment are substantial, the employee can either accept the changes if the employer provides consideration or rejects the offer and sue for damages based on constructive dismissal.
Fundamental changes to the employment such as docHub salary reductions, demotions, and indefinite (unpaid) layoffs are examples of docHub changes that, if made improperly, create the risk of a claim of constructive dismissal.
