Generally a shareholders agreement can cover things like, How many shares do each shareholder? or Does each shareholder own. It could set out whether there are different classes of shares and if so the rights and responsibilities that are applicable to each different share class. Often though the constitution can also set out the share class information, so thats not necessarily in a shareholders agreement but can be in there. A shareholders agreement is a contract between the shareholders and the company. Like any contract, it is possible to amend shareholders agreements and update them as circumstances change within a company.
Subject to any unanimous shareholders agreement, the articles of a company can be amended only by way of a special resolution of the shareholders, which requires the approval of at least 66 2/3% of the votes cast by the shareholders entitled to vote on the resolution.
If the shareholder is to be removed involuntarily, he must have violated the company by-laws or the shareholders agreement. A resolution for the removal has to be then drafted and presented to the Board of Directors (BODs). It must also be presented to a specific set of shareholders if the agreement mentions so.
Similarly, the shareholders agreement should specify which matters must be approved at board level by a majority of directors or by unanimous agreement of the directors.
Provisions in a shareholders agreement can be amended by simply having the shareholders agree to the terms of the amendment in writing. Shareholders do not need to sign an entirely new agreement to make an amendment. They can simply sign a deed of variation.
