- Hey there, this is Seth, and in this video, I'm going to give you a really quick overview of what a promissory note is and how you can put one together really quickly, if that's something you need to do. A promissory note is a type of lending instrument that has been used for centuries. And essentially what this is is just a simple document that lays out the terms and conditions between a borrower and a lender. And it basically just explains that there is a set amount of money that the borrower owes to the lender, and it usually details any interest payments that are included with that. Promissory notes can be set up in all kinds of different ways. You can set them up with balloon payments, so basically there's interest-only payments for a certain amount of time, and then boom, the entire balance is paid off, or you can set it up with what's called straight line amortization, which is basically just a fixed payment for the life of the loan. There isn't a balloon payment at the end....

A promissory note is a written promise by one party to make a payment of money at a date in the future. Although they may be issued by financial institutions, it is also common for other organizations or individuals to use promissory notes to confirm the agreed terms of a loan.

A promissory note is a contract, a binding agreement that someone will pay your business a sum of money. However under some circumstances – if the note has been altered, it wasn't correctly written, or if you don't have the right to claim the debt – then, the contract becomes null and void.
Some key features of promissory notes are as follows, It must be in writing. It must contain an unconditional promise to pay. The sum payable must be certain. The promissory notes must be signed by the maker. It must be payable to a certain person. It should be properly stamped.
Only the borrower signs the promissory note, whereas both the lender and the borrower sign a loan agreement. The signed document means that the borrower agrees to pay back the loan.
Generally, as long as the promissory note contains legally acceptable interest rates, the signatures of the two contracted parties, and are within the applicable Statute of Limitations, they can be upheld in a court of law.
In legal terms, the effect of a promissory note is very similar to a contract, as the debtor is legally bound to uphold their promise as recorded in the note. Failure to make payments could result in a lawsuit, bad credit, or repossession of a home or other property.
It must contain an unconditional promise to pay. The sum payable must be certain. The promissory notes must be signed by the maker. It must be payable to a certain person.
Two parties are involved in the promissory note. They are: Drawer/Maker: Drawer is the debtor who promises to pay the amount to lender or creditor. Payee: Payee is the creditor who is been promised by the borrower or debtor about the pending payment.
There are only two parties to a Promissory Note, one is the maker or the payer and another one is the payee. It is not transferable and thus, the amount is not payable to the bearer.
