Do change of control transactions constitute an assignment by operation of law?

The general rule is that change of control of a corporate entity is not an assignment by operation of law, and therefore does not violate a basic anti-assignment provision.

Does an assignor remain liable?

As the burden of a contract cannot be assigned, the assignor remains liable following the assignment to perform any part of the contract that has still to be fulfilled.

Is assignment the same as ownership?

An assignment is the legal transfer of ownership of any property such as a trademark or copyright from one owner to another. The transferee or "assignee" is the person who acquires ownership, and the transferor or "assignor" is the person who transfers ownership rights.

What constitutes change of control?

Parties normally seek to include provisions in an agreement that allow for either termination or an adjustment of their rights, such as payment, upon a change of structure or ownership of the other party. This is known as a “change of control” clause.

Does an assignment terminate the original contract?

Unlike novation, an assignment does not extinguish the original agreement and does not create a new and separate agreement. The original contract remains in force.

Is change of control the same as assignment?

The assignor loses the actionable right which is conferred to the assignee. Therefore, if the assignor wishes to sue for a debt, he needs the consent of the assignee to add him as a plaintiff to the lawsuit and he has to disclose their relation in the statement of his claim.
