An exclusive contract is a legally binding agreement between at least two parties, which sets out that goods/services are to be purchased from only one seller, making that seller the exclusive provider of the goods/services.
Exclusivity period The agreement must specify the relevant period of exclusivity or lock out. The restriction on one partys freedom to negotiate cannot be unlimited in time. To be enforceable, the exclusivity agreement must specify a fixed period of time during which the exclusivity restrictions apply.
Clearly state that both parties have elected to enter into the agreement based on their interest and free will. Then, outline the terms upon which both parties agree. The next section should cover which party will provide goods or services exclusively to the other.
The clearest method for achieving exclusivity in negotiation is an exclusive negotiation period during which both sides agree not to talk to third parties, even if approached unexpectedly by others. In some arenas, these terms are called no-talk periods.
An exclusivity period is a length of time (usually 30 to 60 days) during which a seller is prohibited from carrying out or furthering activities that relate to the sale of a firm with parties other than the prospective buyer with whom they have signed a letter of intent.
Exclusivity clauses provide reassurance to buyers by limiting the actions that a purchaser can take with competitors after signing an agreement. For example, a phone manufacturer may agree to only sell their phones through a specific cell phone service provider.
It also needs to be remembered that an exclusivity agreement does not oblige a seller to exchange contracts with the buyer at the end of the exclusivity period; it merely locks out others for an agreed period of time.
Residential developers use exclusivity agreements to give buyers a fixed exclusive period in which to exchange contracts. In return, the buyer pays a non-refundable deposit that can be forfeited if the deadline is not met.
