Equity participation refers to the ownership of shares in a company or property. Equity participation may involve the purchase of shares through options or by allowing partial ownership in exchange for financing. The greater the equity participation rate, the higher the percentage of shares owned by stakeholders.
Options are a common equity incentive plan example. A stock option is the right to buy a companys stock at a predefined price. That price is usually equal to the fair market value of the stock at the time that the option is granted.
Up to this point, generally speaking, with teams of less than 12 people, the average granted equity for startup employees is 1%. This number can be as high as 2% for the first hires, and in some circumstances, the first hire(s) can be considered founders and their equity share could be even greater.
Founders typically give up 20-40% of their companys equity in a seed or series A financing. But this number could be much higher (or lower) depending on a number of factors that we will discuss shortly.
The NYSE rules provide that each automatic grant and automatic share increase under a Formula Plan is considered a material amendment unless the term of the Formula Plan is limited to no more than ten years. The Nasdaq rules require shareholder approval of a Formula Plan every ten years (if the term exceeds ten years).
