You can only amend a contract after signing it. This may be to reflect a change in law, but more often its to accommodate the needs of one or both parties. For instance, a common reason for an amendment is simply to change a partys name.
General Rule: Employers May Change Job Descriptions for At-Will Employees. California, like most states in the U.S., is an at-will employment state.
An employment contract cannot be changed solely because the employer revises the contract and the employee signs it. In order for the new contract to be enforceable, there must be a third component mutual consideration.
You need a contract amendment whenever you or the other party wants to change the terms of the agreement. Once youve discussed the change with the other party, one of you will draft the changes, and both will sign them.
Itll need to: Show the date, the title and date of the original contract (e.g. 2 March 2021, Amendments to Service Contract dated 18 January 2021), and the party names and roles. Describe which sections youre modifying or deleting and how reference the paragraph, section, or subsection.
Sixty years ago, the Supreme Court in NLRB v. Katz, 369 U.S. 736 (1962) held that an employer must refrain from making unilateral changes to employment conditions unless the union first receives notice and opportunity to bargain about the change.
Always put a contract amendment in writing and make sure both parties sign and date it. Reference the title of the contract, if applicable; its original parties; and original signing date, so that it is clear what document you are amending. Attach the amendment to the original contract.
