In this video, we explore how the Uniform Commercial Code (UCC) alters the common law mirror image rule, which asserts that contract offers and acceptances must match exactly. Under this rule, if an acceptance doesn't mirror the offer, a contract isn’t formed. For example, a farmer offers to sell 100 apples for $100, specifying payment by May 1st at 10:00 a.m. with delivery by truck. The businessman accepts the terms but adds a return policy allowing two days for returns if unsatisfied. This addition means his acceptance doesn’t precisely reflect the farmer's offer. Under common law, this could ify the contract, but the UCC allows for additional terms in an acceptance, which may still result in a valid contract.
