A security agreement is a document that provides a lender a security interest in a specified asset or property that is pledged as collateral. Security agreements often contain covenants that outline provisions for the advancement of funds, a repayment schedule, or insurance requirements.
If you wish to change a contract, you can only do so when the change is material. Both parties must agree to the changes in writing. If only one party makes changes to the agreement without the approval of the other party, the changes are likely not enforceable.
As a general rule, in order to vary a contract, both parties need to agree to this prior to the changes taking effect, preferably in writing. Unilateral variation (ie where only one party can make a change) is only valid under specific circumstances if this has been agreed in advance.
There are three main ways that a contract can be varied: in writing, orally, and through conduct.
In general, a contract can potentially be varied in the same ways that parties can form any contract, i.e.: in writing - this could be by way of formal variation agreement, a side-letter, or a less formal exchange of emails; orally - for example, where a variation is agreed verbally at a meeting; or.
Varying a contract (changing it) can be done orally or in writing. However, most commercial contracts contain a clause which states that any changes made to a contract are ineffective unless made in writing and signed by or on behalf of both parties. This is called a variation clause or no oral variations clause.
