The TIA, which is closely integrated with the Securities Act of 1933 (the Securities Act), protects certain rights of security holders, imposes minimum obligations on trustees and obligors, and confers on trustees the powers and resources needed to meet obligations to investors.
Form T-1 is a statement of eligibility for a corporate trustee thats filed with the SEC; this trustee safeguards the rights of bondholders. The Trust Indenture Act (TIA) of 1939 is a federal law that prohibits bond issues, without a formal written agreement, fully disclosing the bonds specifics.
Indenture Amendment means an amendment to the Indenture, which, among other things, deletes substantially all material affirmative and negative covenants other than the obligation to pay principal and interest on the Notes contained in the Indenture.
The TIA requires that the hired trustee be free of conflicts of interest involving the issuer. The trustee must also make semiannual disclosures of pertinent information to the securities holders. If a bond issuer becomes insolvent, the appointed trustee may have the right to seize the bond issuers assets.
Section 310(a) of the Trust Indenture Act requires the use of an institutional trustee which is organized and doing business under the laws of the U.S. or any state (absent a rule or order to allow a foreign trustee).
