Secured party is a lender, seller, or other person in whose favor a security interest exists. Debtor is the person who owes payment or performance of the obligation that is secured. Security agreement is the agreement between the secured party and the debtor that creates or provides for a security interest.
Article 9, a docHub name change triggers the need for the secured party to file an amendment to the existing financing statement to reflect the debtors new name. SP should follow several steps in this regard: SP must determine whether the name change renders the filed financing statement seriously misleading.
Article 9 regulates the creation of security interests, and the enforcement of those interests, in movable or intangible property and fixtures. It encompasses a wide variety of possessory liens and determines the legal right of ownership if a debtor does not meet their obligations.
To put it in simple terms, the secured party is the creditor on the UCC loan. The creditor is the secured party because they have a financial interest in the collateral which the lien is on.
The three basic requirements are that the financing statement must (1) provide the name of the debtor, (2) provide the name of the secured party, and (3) indicate the collateral covered by the financing statement. A continuation statement may be filed before the financing statement has expired.
Article 9 of the UCC specifically governs the relationship between a debtor and its secured creditors, also referred to as secured transactions. Debtors are given credit, which may come in numerous forms, and they put up collateral in exchange.
The debtors name refers to the legal name of an individual, company, or entity that owes money or is in debt to another party, often referred to as the creditor.
The only way to amend the debtors name is to file a UCC3 debtor name amendment. A UCC3 continuation extends the life of the UCC another 5 years unless the UCC was filed in Wyoming, which has a 10-year statutory period. To correct or change a debtor name, a UCC3 debtor name change amendment should be filed.
