Effective dates are the times when parties to a contract begin their obligations to perform under the contract. An effective date can be a date in the past (backdating) or in the future.
In terms of private contracts, backdating isnt normally illegal. Where issues of legality come into play is when the parties involved in a contract, or their legal counsel, make use of backdated documents. For legal reasons, you should avoid using backdated documents.
To accommodate such instances, most jurisdictions allow for contracts to have an effective date that is earlier than the date the documents were signed. This is commonly known as backdating. Generally, backdating an agreement is legitimate if it accurately memorializes an unwritten agreement between the parties.
If the agreement is docHubed at a date earlier than the documents date, the purpose is to memorialize it; but if the agreement was not docHubed until the date, backdating is a misrepresentation. Seemingly innocuous backdating can become illegal and inappropriate fabrication because of this ambiguity.
How to create a contract amendment Pinpoint what you want to change or add. Look at your contract and write down the parts you need to change. Date and title the new amendment. Next, add the current date and the title and date of the original agreement to the document. Draft and describe the changes. Finalize the changes.
Since modifications cant be made to contracts once theyve been signed, changes to event dates require a contract amendment.
If the contract is silent on the matter, you may only make changes with the approval of the other party. Both parties must agree to the changes. Depending on the extent of changes, you may be able to simply amend the document. In this case, both parties must sign approval of the changes.
A retroactive effective date agreement is a legal document that allows parties to set a date in the past as the effective date for a specific transaction or event. This means that the agreement will be considered as having come into effect on that earlier date, even if it was not signed until later.
