Some NDAs may have an expiration clause that lasts for a certain number of years after the agreement is signed, while others may specify an expiration date. In some cases, an NDA may have no expiration date, and the confidential information must be kept secret indefinitely.
Effective date: The date from which the provisions of the agreement shall be binding on the parties should be mentioned in the NDA. Purpose: The NDA document should comprehensively state the intention of the parties entering into the agreement.
In some instances, the parties may agree that a specific duration is long enough to require an obligation of confidentiality. In other situations, the theory may be that there is no way to know how long certain information will remain valuable if not disclosed, so the duration should be perpetual.
Typically, many NDAs incorporate a clause allowing either party to modify the contract based on mutual written agreement between both parties, which will apply to extend the duration of an NDA. For example: The terms of this agreement may only be amended by a written instrument signed by both parties to the contract.
Thankfully, most jurisdictions allow for contracts, including NDAs, to be signed with a retroactive date. This is commonly referred to as backdating. But backdating (or adding a retroactive date) any contract can be tricky business, perhaps even more so with NDA agreements because of their nature and content.
The term of the NDA indicates how long the NDA will remain in effect. Typically, the standard use for NDAs ranges from one to five years. However, this all depends on the nature of the transaction or market conditions.
Parties may choose to renew the agreement for an additional term, reaffirming their commitment to keeping sensitive information confidential. The renewal process typically involves mutual consent and a review of the continued relevance of the NDA.
You may not amend an expired NDA. Once an agreement expires, you need a new agreement. Once you know your discussions will extend past the original expiration date, please contact us to prepare an amendment to extend the NDA. If the agreement has expired, we can help to put a new NDA into place.
