Normally an agreement can only be changed by unanimous agreement among the shareholders or partners. A deed of variation, or an entirely new agreement, will need to be drawn up and signed by all the shareholders or partners.
A corporation can intimate a change in the Board of Directors by filing e-Form DIR-12 with the Registrar of Companies (ROC) within 30 days from the date the resolution for change in director is moved in the company meeting.
The general answer is that you can be a director of as many companies as you like at the same time. However, if you have been the director of a liquidated company, and you set up a new company it cannot have the same or a similar name to the old company. This is to reduce any confusion for creditors of the old company.
The shareholders can then vote to replace the directors they removed. The shares present at the meeting must constitute a quorum, and a majority of all shares entitled to vote must vote to remove the directors and replace the directors with new directors.
You can appoint and/or remove directors through a general meeting, whether in ance with the replaceable rules or your companys shareholders agreement. To pass a resolution to remove a director from office, you must give a notice of intention to pass this resolution to the company.
If the corporation has never properly adopted bylaws to control the composition of the board, state laws contain default provisions that typically allow shareholders to change the number of directors on the board through a majority vote.
Call a special meeting when you want to change the board of directors before the term has ended. Give all shareholders notice of the meeting. The notice must include the place at which the meeting will be held, the time and date of the meeting, and the purpose for which you called the meeting.
Vote to amend the board of directors/officers. If the majority of directors/shareholders vote in favor of changing its members/officers, then the Board can be changed. 5. Results of the vote should be recorded in the corporations meeting minutes.
