Defining Ownership Percentages Your ownership share determines the amount of business profits youre entitled to. It also determines the amount of losses youll be responsible for, so tread carefully. If the business takes a loss, and youre a 70% owner, youll be hit with 70% of the losses.
The most common way is to sell the business to another person or company. If you own the business along with partners, you may reapportion ownership among the multiple partners. Another way is to gift the business to someone else. You can also transfer ownership through a merger or acquisition.
Typically, the business owners must write a resolution to amend the LLC Operating Agreement to change the ownership percentages and then have the owners sign it to document their approval.
You simply issue more shares (the same way governments print money). Issuing more shares is what causes the dilution. If you have 100 shares and you want to give someone 10%, youd have to issue 11 new shares (11/111 x 100 = 10%, approximately).
Any change in ownership percentages should be recorded in the stock ledger. You (or your attorney) need to record the transfers and then cancel the original stock certificate. A new certificate will be issued reflecting the amended number of shares.
Key takeaways. Changing your LLC operating agreement usually requires consent from all existing members. You may change your operating agreement for many reasons, including if you implement new governance rules for your LLC or if ownership stakes change.
First, read your LLCs operating agreement to learn about the procedures for making changes. If a docHub change in business activity occurs, depending on the structure of your LLC, all members may be required to vote or agree.
Use our LLC Operating Agreement Amendment form to modify your original agreement. An amendment to an LLC operating agreement is an internal, written document that identifies which sections of the original LLC Operating Agreement will be modified or removed or new areas to be added.
