Statement of Purpose The corporate bylaws should include a statement of the companys purpose. A written statement of purpose allows current and future managers, officers and directors to learn the reason the company was founded, as well as the objective of any future endeavors.
Laws are established by federal, state and local governments and are enforceable by legal authority. Sometimes, cities or towns may refer to their laws as bylaws. Bylaws are a system of rules adopted by a corporation, organization or community to govern and regulate its members.
It is a best practice to use a logical sequence when numbering bylaws and include the year that the bylaw was written and a consistent and uniform numbering and/or lettering system for Page 7 Basic Principles of Bylaws 3 sections, subsections, paragraphs, and sub-paragraphs in your bylaws.
Most bylaw changes can be passed by whats called an ordinary resolution. An ordinary resolution is one that is passed when a majority of members vote in its favour unless your bylaws say otherwise. But there are some bylaw changes that can only be passed by special resolution.
A set of bylaws should include at least the following: Name of the organization. Purpose of the organization. Membership. Governing body. Officers. Meetings. Fiscal year, financial matters, audit (Including any requirements your state may have for the financial governance of not-for-profits.)
Bylaws generally define things like the groups official name, purpose, requirements for membership, officers titles and responsibilities, how offices are to be assigned, how meetings should be conducted, and how often meetings will be held.
