A franchisor or franchisee can try to end an agreement early, or before the term expires. The ways that an agreement may be ended, for both the franchisor and franchisee, must be set out in the franchise agreement. It must also be summarised in the disclosure document.
A franchisor can terminate the agreement if a franchisee: Is convicted of a crime. Loses a necessary license or lease. Fails to pay royalties.
To be clear: Franchise agreements are negotiable. It is not illegal for a franchisor to modify its franchise agreement. It is extremely common for franchisees to negotiate certain aspects of the franchise agreement.
Once outside the cooling-off period, your options to exit the franchise are limited, but include: Surrendering your franchise back to the franchisor. Transferring/selling to a third party with the franchisors consent. Establishing a franchisor bdocHub of the franchise agreement. Abandonment.
You can use it to get out of a franchise agreement. The termination clause generally states why the agreement can be suspended or terminated by either of the parties. For example, if the other party fails to comply with contractual clauses and other obligations, the contract is terminated.
A franchisee can terminate the agreement if a franchisor: Fails to provide training and support as stipulated in the contract. Commits fraud or misrepresents the potential profits.
Under a typical franchise agreement, the franchisors and franchisees relationship can end in one of two ways: (i) the franchise agreement can expire at the end of an initial or renewal term, or (ii) one party (most likely the franchisor) can terminate the agreement before it expires.
Inadequate Performance The franchise agreement outlines performance standards that franchisees are expected to meet. If a franchisee consistently underperforms and fails to meet these standards, the franchisor may have the right to terminate the agreement.
