A termination clause is a provision in a JV contract that allows one or both partners to end the JV before its natural expiration, under certain circumstances.
A written notice of intent of termination of the contract must be served to all members in due time using the method specified in the contract. The terminating party should make an exit plan or strategy to terminate the joint venture. A standard exit plan may have the following steps: Sale of the assets.
The JV may be terminated by agreement of the parties whose capital accounts total a majority in value of the capital accounts of all the partners. Written notice of the meeting where termination of the JV is to be considered shall include a specific reference to this matter.
