To dissolve an Ontario corporation, the following documentation must be submitted to the Ministry of Public and Business Service Delivery: Articles of Dissolution. Letter consenting to the dissolution from the Ministry of Revenue must be submitted with the Articles of Dissolution within 60 days of issuance.
In order to dissolve an Ontario corporation, an application first must be made to the Ministry of Finance requesting its consent. The corporation must send a letter to the Ministry of Finance, Client Services Branch requesting them to provide a Letter of Consent to Dissolve Corporation.
To dissolve a corporation in Ontario, you can either voluntarily or involuntarily dissolve your corporation. Voluntary dissolution starts by filing articles of dissolution either through a lawyer or by using the Ontario Business Registry online.
To obtain a certificate of dissolution, fill and submit online your articles of dissolution. To obtain a certificate of intent to dissolve, complete and sign Form 19 Statement of Intent to Dissolve (see Federal corporation forms) and submit it to Corporations Canada.
In order to cancel a corporation, Articles of Dissolution would need to be filed. Ontario Business Central can assist with this process, preparing and filing these documents on your behalf.
If you file articles of dissolution with Corporations Canada, the filing fee is $200. You may also be required to pay other fees, such as the fee for certified copies of the articles or the dissolution certificate.
This process comes under Section 560, of the Companies Act, 1956. To shut down a company under FTE, one can apply through the Form (FTE) that is available on the MCA website: . An authorised director should download and digitally sign the form.
Application can be made by using Form RC145, Request to Close Business Number (BN) Accounts, which is available electronically from the CRA Web site. Alternatively, the person may apply for cancellation of registration by telephone or in writing as long as all necessary information is received.
