Articles of Incorporation refers to the highest governing document in a corporation. It is also known known as the corporate charter. The Articles of Incorporation generally include the purpose of the corporation, the type and number of shares, and the process of electing a board of directors.
Articles of Incorporation are the official legal document that you submit to the Secretary of State to form your Washington corporation. Articles of Incorporation list basic information about your corporation, such as your company name, your principal business address, and your Washington registered agent.
A certified copy of your articles of organization or articles of incorporation can be ordered by mail, in person, or online. You cannot order by phone or fax. Normal processing takes 5-7 business days, plus additional mail time. The Washington Secretary of State will mail your certified copy to you.
Any new corporation must file articles of incorporation. This is true for all corporations across all states. The form may look slightly different from state to state as each state has its own requirements. Articles of organization is a similar form required for limited liability companies (LLCs).
To make updates to your Washington LLCs Certificate of Formation, youll need to file an Amended Certificate of Formation form with the Washington Secretary of State, Corporations and Charities Division. You can file your Amended Certificate of Formation in person, by mail or online for a $30 fee.
