- Hi, everyone. I'm attorney Aiden Durham with 180 Law Co in Denver, Colorado, and welcome back to all up in my messy, disgusting moving business. Just kidding. It's All Up In Yo' Business. (upbeat guitar music) In this episode of All Up In Yo' Business, I'm gonna break down some of the basics of non-compete agreements, tell you guys what they are, why they're important, and kind of generally how they work in the law. But before we get into it, please be sure to like, subscribe and share, and don't forget to check the description for some links to additional information and resources. And finally, as with last time, I'm moving. Well, I've recently moved, and I'm still in the process of unpacking and getting stuff organized, so ignore the terrible mess behind me and bear with me while things get adjusted around here, okay? Thanks. So, what is a non-compete agreement? A non-compete, also known as a non-competition, a covenant not to compete, a non-compete agreement is a restrictive cove...

Hiring someone with a non-compete can be risky for the new firm as well if you're hiring from a competitor. The previous employer can sue their former employee and the new employer. Even if they lose, if can cost the employee and new firm a lot of money in legal fees, and may prevent the person from working for a time.
Bottom Line for Employers The decision suggests that even when an agreement is entered into freely, Ontario courts will determine that a non-competition clause is unenforceable if it is unreasonable between the parties because it is ambiguous or because the scope of the prohibited activities is overly broad.
In most states, the non-compete agreement cannot be enforced unless the employee receives a payment or benefit in exchange for signing it. Some states only enforce trade secret protection but invalidate work restrictions.
You Can Void a Non-Compete by Proving How Severely Its Terms Would Affect You. The inability to make a living could be an “undue hardship” that renders a non-compete unenforceable. Think about your job skills and the specific terms of the non-compete agreement you signed.
Most non-compete contracts prohibit competitive activity by the ex-employee within a certain number of miles of the employer's business. The typical language prohibits competitive activity within a 15 to 25 mile radius of the employer's business.
You Can Void a Non-Compete by Proving Its Terms Go Too Far or Last Too Long. Whether a non-compete is unenforceable because it covers too large of a geographical area or it lasts too long can depend on many factors. Enforceability can depend on your industry, skills, location, etc.
In order to be enforceable, a non-compete agreement must include an offer, acceptance, intent, and a benefit or “consideration” to the employee in exchange for his or her promise. The benefit could be as simple as getting the job or, for an existing employee, getting a promotion or raise.
If you are an employee who has been given a non-compete clause with your Employment Agreement, it may no longer be enforceable. Employers are no longer permitted to issue non-compete agreements to their employees in Ontario.
As for a time limit on a non-compete agreement, most employers see between six months and two years as a reasonable non-compete time frame, with one year being quite common. However, the time frame depends on the industry and type of career path the individual has.
Updated May 5, 2022: It is possible to find non-compete loopholes in certain circumstances in order to void a non-compete contract. For instance, if you can prove that you never signed the contract, or if you can demonstrate that the contract is against the public interest, you may be able to void the agreement.
