An invoice, by itself, is not enough to create a legal contract between a buyer and a business. However, in order to create a legally binding agreement in the eyes of the law, an invoice must be accompanied by an official contract stating the terms and agreements of the sale or payment.
One of the simplest ways to confirm the transaction is the buyers signature in the invoice. By putting down a signature the customer accepts the invoice. At this point, it becomes legally binding.
Invoices outline the details of what someone owes you, usually goods and services. However, an invoice is generally considered a one-sided agreement until the client has signed it. Once youve collected a legally-binding signature, your invoice can technically be considered a contract.
Once both sides agree to the invoice, it becomes a binding contract. That means that the customer must pay the invoice, but only after the vendor has satisfied all of terms spelled out on the invoice.
What to include in your invoice for contract work. Your name (or company name) and contact details. Your clients name and contact details. Date of invoice. Invoice number. Itemized list and description of services. Date or duration of service. Pricing breakdowns, such as hourly or flat rates. Applicable taxes.
What is a binding contract? A binding contract is any agreement thats legally enforceable. That means if you sign a binding contract and dont fulfill your end of the bargain, the other party can take you to court.
An invoice on its own is not a contract in a legal sense, because it does not prove an agreement between two parties. Instead, an invoice is created by a business and sent to a client to request payment for its services and is therefore a one-sided document.
Invoices and contracts are integral elements of any business so its essential to understand the difference between the two. An invoice doesnt qualify as a contract, nor does a contract serve as an invoice.
