These plans pay employees the equivalent of an increase in the companys stock value without actual ownership attached. The award is based on the difference between the stocks value on a specified date and its current value.
An ESOP pool consists of shares of stock reserved for employees of a private company. It is a way of attracting talented employees to a startup if the employees help the company do well enough to go public, they will be compensated with stock.
Usually an ESOP pool is around 7.5-15% of a companys total shares on a fully diluted basis (10% is most common). If you are setting up an ESOP as part of a capital raising transaction, your incoming investors may have specific requirements around this.
An ESOP pool consists of shares of stock reserved for employees of a private company. It is a way of attracting talented employees to a startup if the employees help the company do well enough to go public, they will be compensated with stock.
The pool is generally roughly 15% of the total equity at the seed stage. Founders and other shareholders can partially replenish the pool by diluting additional ownership in subsequent investment rounds. The companys worth rises as it matures, and startups may meet employees compensation expectations.
The option pool is part of a legal structure called an equity incentive plan. A typical size for the option pool is 20% of the stock of the company, but, especially for earlier stage companies, the option pool can be 10%, 15%, or other sizes.
This approach looks at the data for what other companies typically do. The common rule of thumb is that the equity pool should represent 10 percent of company shares, but this data can be broken down further, by company stage, industry, and more to determine how your company stacks up against close peers.
