You can assign your lease if you decide to leave your rental unit permanently during the course of the lease. You transfer your lease to someone else and have no further responsibilities as a tenant under the lease. Subletting, on the other hand, can be a temporary arrangement.
Why does an assignment take place? It happens for several reasons. Existing tenant want to leave for reasons, usually due to business not doing well, Age, retirement are just a few. Or, someone new comes into the area and wants to take over the lease for their prospective venture.
The process of assignment of a lease is essentially selling the lease to a third party (the assignee). If you are a commercial property tenant, your contract likely contains a clause that allows you to assign your lease to a new tenant.
An assignment is when the tenant transfers their lease interest to a new tenant using a Lease Assignment. The assignee takes the assignors place in the landlord-tenant relationship, although the assignor may remain liable for damages, missed rent payments, and other lease violations.
A licence to assign is a landlords permission for a tenant (the assignor) in occupation under a lease to assign the lease to a new incoming tenant (the Assignee). It should be noted that this permission does not necessarily need to be in a formal deed.
An assignment clause aims to control who performs a contract and who can receive benefits under the contract. It does not, however, mean that a partys contractual obligations are transferred over, it simply means that the performance of such obligations can be delegated.
A Deed of Assignment transfers to you ALL OF THE SELLERS RIGHTS TO THE LAND OR HOUSE. The buyer acquires FULL OWNERSHIP, subject solely to the provisions of the Land Use Act. A Deed of Lease [Sub-Lease], on the other hand, is a type of LONG RENT OR LEASE because the title finally reverts to the Seller [the Lessor].
An assignment ensures the complete transfer of the rights to the property from one tenant to another. The assignor is no longer responsible for rent or utilities and other costs that they might have had under the lease. Here, the assignee becomes the tenant and takes over all responsibilities such as rent.
What is the Assignment Clause and When is it Triggered? Every commercial lease contains an assignment provision that lays out the landlords and the tenants rights and obligations in the event that the tenant seeks to assign the lease.
Once a lease as been assigned, the assignee will become the new tenant and will be responsible for ensuring compliance with all of the tenants obligations in the lease.
