When drafting an NDA, the owner of the protected information must determine whether to include an expiration date for the agreement. Because the expiration of certain obligations under the NDA could place a companys trade secrets at risk, indefinite protection obviously is preferred.
There are several reasons why an NDA might be unenforceable, however. If the NDA is too broad, the information under the NDA is not actually confidential, or if the agreement requires the employee to do something illegal. NDAs must be carefully crafted for proper enforcement.
Assuming that the NDA contains a termination clause, once a party gives notice to terminate the contract, all of the obligations under the contract will terminate on the termination date unless the NDA includes a survival clause.
There is no such specific time limit given on the duration of the Non Disclosure Agreement. Generally, the the Non Disclosure Agreement is seen to extend over a period of 2 to 5 years. The corporates may also enter into a Non-Terminating Non Disclosure Agreement so as to protect the trade secrets permanently.
Thankfully, most jurisdictions allow for contracts, including NDAs, to be signed with a retroactive date. This is commonly referred to as backdating. But backdating (or adding a retroactive date) any contract can be tricky business, perhaps even more so with NDA agreements because of their nature and content.
It is important that an NDA is in place before any discussions take place, as any information shared outside an NDA may not be protected. It is not good practice to backdate an NDA as there is a risk that a party may have already shared the information disclosed, or refuse to agree to an NDA at a later date.
Thankfully, most jurisdictions allow for contracts, including NDAs, to be signed with a retroactive date. This is commonly referred to as backdating.
