One of the easiest places to find it is on the public register of businesses online, which is free to access. Alongside your businesss date of incorporation, the register also lists other details, including: Company registration number. Registered office address.
If you want to amend your California articles of incorporation, you must file a Certificate of Amendment of Articles of Incorporation form with the California Secretary of State (SOS) by mail or in person. Checks should be payable to the Secretary of State.
The Secretary of State where the company is incorporated You can find out whether the company is a corporation in good standing and has filed annual reports with the state through the secretary of state where the company is incorporated.
To amend (change, add or delete) provisions contained in the Articles of Incorporation, it is necessary to prepare and file with the California Secretary of State a Certificate of Amendment of Articles of Incorporation in compliance with California Corporations Code sections 900-910.
The meeting of the stockholders must first take place and the issue of the amendment must be assented to by stockholders representing at least 2/3 of the outstanding capital stock. Thereafter, it must be approved by at least a majority of the board of directors and duly certified by the Corporate Secretary.
How Do I Change the Articles of Incorporation? First, a proposal must be prepared and presented to the company board of directors. The board adopts a corporate resolution approving the proposal. If there are shareholders or members, they must vote on the change.
The date the articles are filed is known as the date of incorporation. This information is then made publicly available by the state. Start with the states division of corporations if you know where the company began.
As can be gleaned from the foregoing, there are three (3) basic requirements for amending the Articles of Incorporation, namely: Majority vote of the board of directors. Written assent of the stockholders representing at least 2/3 of the outstanding capital stock. Approval by the Securities and Exchange Commission.
The articles of a corporation under the Canada Business Corporations Act (CBCA) can be amended by submitting a request through the Online Filing Centre. You will have to pay a filing fee (see Services, fees and processing times).
Either a majority of incorporators (before stock is issued), directors or shareholders must approve the Amendment. If stock has been issued and directors determined, then the Board of Directors must adopt a resolution proposing the Amendment.
