The benefit of a contractual obligation to keep information confidential can usually be assigned unless expressly prohibited in the agreement. Generally, assignment is expressly prohibited with- out consent.
You do not need a lawyer to create and sign a non-disclosure agreement. However, if the information you are trying to protect is important enough to warrant an NDA, you may want to have the document reviewed by someone with legal expertise.
Assignment clause: Obligates the recipient to not assign the NDA to any third party without the prior consent of the discloser.
As such, confidentiality agreements typically contain clauses prohibiting either party from assigning the agreement to any other party, whether expressly or by operation of law.
NDAs are generally required when two companies enter into discussions about doing business together but want to protect their own interests and the details of any potential deal.
Assignment. The usual position is that the NDA cannot be assigned by either party without the prior written consent of the other party. This may be varied slightly in some NDAs involving an acquisition whereby the ultimate purchaser of the target may be given assignment rights.
Just like any other contracts, an employee NDA is a legally binding document. As such, breaking an NDA would have adverse legal consequences against the employee.
