Memoranda of Understanding/Agreement (MOU/MOA) MOUs tend to be used for simple common-cause agreements which are not legally binding. MOAs, on the other hand, establish common legal terms that establish a conditional agreement where the transfer of funds for services are anticipated.

If you wish to make your MoU legally binding, you can include a written statement that it is the will of both parties to make these terms legally enforceable.
To be legally enforceable, the MOU must contain all the essential terms of the agreement. Often, MOUs are not a complete agreement. Parties can leave several essential terms out because they remain undecided on them. Essential terms are the terms that parties must finalise before a court can enforce the agreement.
Like the letter of intent, the Memorandum of Understanding is not a legal document. However, MOU elements such as the acceptance of an offer, the intention to be legally bound or even an exchange involving payment can make it contractually binding in law court.
