Most bylaw changes can be passed by whats called an ordinary resolution. An ordinary resolution is one that is passed when a majority of members vote in its favour unless your bylaws say otherwise. But there are some bylaw changes that can only be passed by special resolution.
The main difference between a by-law and a law passed by a national/federal or regional/state body is that a by-law is made by a non-sovereign body, which derives its authority from another governing body, and can only be made on a limited range of matters.
Can Nonprofit Board Members Be Removed? The power to remove or fire a nonprofit board member is a power that must be created in the organizations bylaws.
Legally speaking, any member of a nonprofit is allowed to elect board members, vote on fundamental matters, and approve changes to your bylaws. However, a certain number of members may have to be present at each vote for the results to be valid; this varies from state to state.
You can file Articles of Amendment online if you received a company key giving you authority over the corporation (see Notice Company Key). You can file directly with the Ministry of Government and Consumer Services (Ministry) through ServiceOntario at our website .ontario.ca/businessregistry.
Point out to them that bylaws are not a suggestion, they are mandatory. They form the foundation of how the entire organization functions. Failing to follow them puts the board, and the nonprofit, at legal risk. It may also put each director at individual risk, which DO insurance will not cover.
Conflicts of Interest (Version A) Whenever a director or officer has a financial or personal interest in any matter coming before the board of directors, the affected person shall a) fully disclose the nature of the interest and b) withdraw from discussion, lobbying, and voting on the matter.
Corporate bylaws specify the number of directors, their qualifications and duties, their time and place of meeting, and more. A violation of the bylaws can lead to the internal discipline of board members or even shareholder lawsuits.
