NDAs can be either mutual or one way. A mutual NDA requires each party to protect the confidential information to the other party. A one-way NDA contemplates that only one party will be disclosing confidential information. If you wont be disclosing any confidential information, then you may not need a mutual NDA.
Bilateral or Mutual Non-disclosure Agreement: Mutual Non-Disclosure Agreement is signed by two parties that wish to reciprocate confidentiality. Also called bilateral NDA, mutual NDA is generally signed when two parties share sensitive information amongst themselves.
1. Mutual or Unilateral. First, consider whether the NDA is unilateral or mutual. A unilateral NDA means only one party is agreeing to protect the other partys confidential information; while a mutual NDA means both parties are agreeing to do so.
Each Party acknowledges and agrees that this Agreement does not obligate the other Party to disclose any information, including any Confidential Information, negotiate, or enter into any agreement or relationship with the other Party, or accept any offer from the other Party.
There are several reasons why an NDA might be unenforceable, however. If the NDA is too broad, the information under the NDA is not actually confidential, or if the agreement requires the employee to do something illegal. NDAs must be carefully crafted for proper enforcement.
