The ability of affiliates to sell their control stock is limited by Rule 144. Under Rule 144, persons may not sell restricted stock until the shares have been fully paid for and held for at least six months.
Rule 144 applies if you are: a non-affiliate shareholder who wants to sell their restricted securities. an affiliate of the issuing company who wants to sell their securities (whether they are restricted or free trading) into the public market.
Rule 144 provides an exemption and permits the public resale of restricted or control securities if a number of conditions are met, including how long the securities are held, the way in which they are sold, and the amount that can be sold at any one time.
For example, section 4(a)(7) provides much more flexibility than: Rule 144A, which limits resales only to QIBs, and Rule 144A is only available in respect of certain securities. Rule 144, pursuant to which resales can only be made in compliance with the holding period, volume and manner of sale requirements.
An old stock or bond certificate may still be valuable even if it no longer trades under the name printed on the certificate. The company may have merged with another company or simply changed its name.
SEC Rule 144 outlines the conditions under which restricted and control securities can be sold in the public market. Rule 144 requires affiliates of an issuing company who want to sell their holdings to wait for at least a minimum holding period and comply with various reporting requirements and disclosures.
Rule 144A modifies restrictions for the purchase and sale of privately placed securities among qualified institutional buyers without the need for SEC registrations. ing to the rule, sophisticated institutional investors dont require as much information and protection as individual investors.
