How do you create a new digital contract? The contract creation process itself is pretty straightforward. Just create the document on your computer as you would a traditional paper contract and make sure it has an e-signing functionality, then send it to the signer.
Typically, the issue of who owns the band name is dealt with in the Band Agreement. Often a leaving member will forfeit their rights in the name when they leave the band. In such a situation, the remaining members can continue using the name.
Some simple solutions are: The name is owned by one or more members, and only a band that includes that member or members can use the name. Or the name is the exclusive property of the band as a group and not owned by any individual member. And any member who leaves the group has no right to use the name.
Some important items for a bands LLC operating agreement include: Ownership of the band name. Ownership of equipment. Ownership of music/songs. Management and distribution of revenue and profits. Decision-making processes. Specific responsibilities and contributions of each individual member.
Should a musician form an LLC? In most cases, the answer is yes; musicians can benefit greatly by forming an LLC. With an LLC, a musician can receive limited liability protections and will also be able to more easily resolve disputes with band members.
Creating A Partnership To determine whether a partnership exists courts look at: (1) intention of the parties, (2) sharing of profits and losses (3) joint administration and control of business operation, (4) capital investment by each partner, and (5) common ownership of property.
Incorporating your band will provide you with many benefits, including: Liability protection: Incorporating will establish your band as a separate legal entity. Because the band is a separate entity, you and your bandmates will not be held personally liable for the bands debts.
You may be surprised to find out that even without signing an agreement, when a band is formed, there is a presumption in law that a partnership has been formed.
