Does an NDA require a signature?

Both parties need to sign the NDA for it to be legally binding. In the past, this process has been accomplished by printing out the document, signing it, scanning it, and then emailing it back.

Should an NDA be signed on letterhead?

Public records, including SEC filings or company addresses, are not covered by these confidentiality agreements. The courts can also interpret the scope of an NDA in ways that one or more participants may not have initially expected.

Should an NDA be signed by both parties?

Both parties will sign the NDA after they finish drafting it. Like any business contract, unilateral NDAs require someone with authority (i.e., a C-suite executive) to sign the agreement on behalf of each party. Then, one party will disclose the confidential information and designate it as confidential.

Can I mention that I signed an NDA?

NDAs can last anywhere from a few days to a few years. After this period, you can disclose the information shared with you, including the fact that you have signed an NDA.

How do you get around a non-disclosure agreement?

Avoid unclear definitions. If the confidential information to be protected by the NDA is defined as something like any and all potentially sensitive data, thats a red flag. You have no idea what the rules are, essentially, or even what you can and cant share (even accidentally!).
