Hi, Im Greg Brown. Today, were talking about dissolving a corporation. The process by which a corporation ceases to exist is called dissolution. It can occur at any time by a vote of 50% of the corporations shareholders. Now there are a number of reasons why a corporations shareholders may want to dissolve the corporation. However, California law places certain restrictions on the dissolution process to ensure that it is not abused. One major restriction is that a corporation cannot use dissolution to avoid paying its debts or obligations. So what are the obligations upon dissolution? When a corporation dissolves it generally must stop doing business in all respects and liquidate its assets to pay off its creditors and shareholders. When a corporations assets are liquidated they must first be used to pay off outstanding debts that the corporation owes and in many cases even those debts owed to the shareholders. How Much Does it Cost to File Articles of Dissolution? + The Articles of Dissolution cost $272.40 in total. The fee is made up of $149.00 for our fee of preparing the form filing and gaining approval from you to proceed.
Articles of Dissolution, Form 11, Co-operative Corporations Act. Description. To voluntarily dissolve an active Ontario co-operative corporation that has commenced business, issued shares, received membership loans or fees or it has been two years or more since the date of incorporation.
You can do this online through CRA My Business Account or by calling CRAs Business Inquiries line. Note that you can close your GST account BEFORE you dissolve your corporation.
To obtain a certificate of intent to dissolve, complete and sign Form 19 Statement of Intent to Dissolve (see Federal corporation forms) and submit it to Corporations Canada. Do not submit copies of the directors resolution or shareholders special resolution with the applications.
You can file Articles of Dissolution online if you received a company key giving you authority over the corporation (see Notice Company Key). You can file directly with the Ministry through ServiceOntario at our website .ontario.ca/businessregistry.
Dissolution puts an end to the legal existence of the company. In order to dissolve, a company must first complete the liquidation process. Once dissolved, it ceases to exist. If a company is dissolved by court order, then the dissolution will be effective as of the date of the order.

When you want to permanently dissolve your corporation, you should send an application for dissolution to the government body that governs the affairs of your corporation. You should also file a final return and send us a copy of the articles of dissolution.
