However, recent Ontario jurisprudence confirms that, based on certain language of the LOI or the behaviour of the parties, LOIs may be interpreted as binding even where the parties explicitly intend for them not to be. As such, it is key to draft the LOI with purpose and be mindful of your actions during negotiations.
If one party has a change of heart or finds a better deal and terminates negotiations after a letter of intent is signed, that party may be liable for failing to negotiate in good faith. For these reasons, parties should exercise great care in drafting letters of intent.
A letter of intent is generally not binding since its basically a description of the deal process. It is, in effect, an agreement to agree. Thus, either party can cancel the letter at any time.
Can I Get Out of the Letter of Intent? If you sign a LOI and then change your mind, it is possible to appeal it and ask for a release. After all, colleges dont want student athletes who dont really want to be there. In most cases, the NCAA does grant the release.
